Board Responsibilities and Duties With Caterina Håland Gaeta, Partner at SANDS Advokatfirma At a glance: * Date: Thursday 29 October 2026 * Time: 18:00 to 20:00 * Venue: SANDS Advokatfirma, Cort Adelers gate 33, 0254 Oslo * Price: Free for PWN members, 250 NOK for non-members * RSVP: marija_pm@pwnnorway.no Expect a practical, plain-spoken evening from someone who has seen how these questions play out in a courtroom rather than in theory. Useful whether you already hold a board seat, have recently been approached about one, or are building toward it over the next few years. About the session: Board work is one of the most direct routes into real influence, and for many of us it's somewhere on the plan. What almost nobody explains in advance is what the role asks of you legally. The Norwegian Companies Act sets out duties that attach to you personally as a board member. Understanding them before you accept a seat means you can ask better questions, judge whether a board is well run, and know what you're taking on. It's a much better position than working it out later. Caterina Håland Gaeta argues these cases for a living. In this session she gives a clear overview of the provisions that matter most for board members, covering: 1. The essential board regulations every member should know 2. The situations where personal liability can arise 3. Best practices for risk management We're grateful to SANDS for hosting us in their offices for the evening. About Caterina: Caterina Håland Gaeta is a partner at SANDS and a litigation lawyer admitted to the Supreme Court of Norway. She specializes in commercial disputes, with particular expertise in directors' liability and other liability issues under Norwegian company law. Caterina regularly represents clients before the courts and in arbitration proceedings, and is a frequent speaker on directors' duties and liabilities. She also serves as Chair of the Oslo Bar Association and sits on the legislative committee tasked with proposing reforms to the Courts of Appeal.
